4、額的110%投保險INSURANCE: To be covered by the buyer for 110% of invoice value covering risks with the Buyer as beneficiary.10.合同單據(jù)：（1） 注明合同號，簽字正本發(fā)票5份。 (2) 裝箱單3份。（3） 全套（3/3）已裝船海運提單。（4） 生產(chǎn)商提供質(zhì)量和產(chǎn)地的證書，文件為1份原件，2份復印件。（5） 由保險公司出具的以買方為受益方，按發(fā)票金額110%投保一切險的單據(jù)2份，如在運輸時發(fā)生問題，由賣方向保險公司提出賠償。DOCUMENTS:(1) Signed commercia

If the cargo is damaged in the period of shipment the buyers will claim against insurance company.11.裝船通知：賣方在收到提貨單4日內(nèi)轉(zhuǎn)交一份提貨單復印件給買方。SHIPPING ADVICE: The seller to forward a copy of the bill of Lading within 4 working days of receival.12.質(zhì)量保證：商

7、品的制作質(zhì)量問題由買方承擔責任。GUARANTEE: The Buyer should take the responsibility for quality issues due to the manufacturing process.13.人力不可抗拒：凡在制造或裝船運輸過程中，因人力不可抗拒的事故，致使賣方推遲交貨或不能交貨時，賣方可不負責任，但發(fā)生上述事故時，賣方應立即通知買方，并在十四日內(nèi)，給買方航寄一份由主管政府當局頒發(fā)的事故證明書。在此情況下，賣方仍有責任采取一切必要措施加速交貨。如事故延續(xù)四周以上，買方有權(quán)撤銷合同。FORCE MAJEURE: The Sellers sha

8、ll not be responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit . The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within fourteen days

9、 thereafter the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the competent Government Authorities where the accident occurs as evidence thereof.Under such circumstances the Sellers, however, are still under the obligation to take all necess

10、ary measures to hasten the delivery of the goods. In case the accident creates a delay of more than four weeks, the Buyer shall have the right to cancel the contract.14.仲裁：凡因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭議，雙方應通過友好協(xié)商解決，如果協(xié)商不能解決，應提交中國國際貿(mào)易促進委員會對外經(jīng)濟貿(mào)易仲裁委員會根據(jù)該會仲裁程序暫行規(guī)則進行仲裁。仲裁裁決是終局的，對雙方都有約束力。仲裁費用由敗訴方承擔。ARBITRATION:

11、 All disputes arising form the execution of or in connection with this Contract shall be settled amicably through friendly negotiation. In case no settlement can be reached through negotiation, the case shall then be submitted to the Foreign Economic and Trade Arbitration Commission of the China Cou

12、ncil for the promotion of International Trade, Beijing . The arbitration fee shall be borne by the losing party.15.本合同正本一式兩份，買方執(zhí)一份，賣方執(zhí)一份。合同生效以簽字日為準。本合同根據(jù)中國法律簽訂，以中文說明為準。The contract is made out in two originals. Each signatory party holds one original. The date of signature of both Parties is the effective date of contract.
